Terms of Service
A clear agreement for using our services.
1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “You,” or “Your”) and Alley Realty & Auction, LLC (“Business,” “We,” “Us,” or “Our”) regarding your use of our realty, auction, and related services (“Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use our Services.
2. Description of Services
We provide real estate and auction services, including property listings, auctions, consultations, bidding platforms, and related resources. Services may be delivered in-person, online, or via third-party tools.
3. Client Responsibilities
You agree to provide accurate information about yourself, properties, and transactions. You must comply with all auction rules, bidding terms, and legal requirements.
Proprietary information shared during transactions, including bidding strategies and property details, must remain confidential. Do not disclose other clients’ information without consent.
You are responsible for bids placed, payments owed, and adherence to contractual obligations. We do not guarantee auction outcomes or property conditions.
4. Payment and Refunds
a. Fees: Fees, including buyer’s premiums and listing fees, will be outlined in auction agreements or invoices. All fees are non-refundable unless otherwise stated.
b. Payment Terms: Payments are due as specified, including post-auction deadlines. Non-payment may result in suspension, legal action, or forfeiture of deposits.
c. Refunds: Refunds or credits are granted solely at our discretion, except as required by law.
Ownership & Materials
5. Intellectual Property
a. Ownership: All content on our platforms, including listings, images, software, and trademarks, is our property. Unauthorized use, reproduction, or distribution is prohibited.
b. Client Materials: You retain ownership of data you provide, such as property details. You grant us a non-exclusive license to use such materials to deliver Services.
c. No Resale or Redistribution: You may not resell, repackage, or redistribute our auction tools, CRM, databases, templates, or proprietary materials without written consent. Violations terminate your access.
6. Limitation of Liability
To the extent permitted by law, we are not liable for damages arising from Services, including inaccuracies in listings, auction results, or third-party actions. You agree to indemnify us against claims related to your use of Services.
7. Termination
Either party may terminate access with written notice. You remain liable for fees incurred prior to termination. We reserve the right to suspend accounts for violations.
8. Governing Law
These Terms are governed by the laws of Knoxville, Tennessee. Disputes will be resolved in courts located in Knoxville.
9. Privacy Policy
Your use of Services is subject to our Privacy Policy: https://alleyauction.com/privacypolicy/, which outlines data collection, use, and protection practices. By using our Services, you consent to these practices.
10. SMS/Text Communications
